Welcome to the RapidStart Certified Regional Partner Program.
We created this program to better serve our app customers in regions where it is not practical for our team to support them directly due to language or timezone challenges.
By enrolling as a Certified Regional Partner, you agree to the following terms and conditions:

Program Overview
- Certified Regional Partners are recognized for completing the official onboarding process, certifying their ability to provide competent services to customers who use RapidStart apps. This partnership does not create any direct revenue-sharing model between RapidStart and its Certified Regional Partners for the services Partners provide directly to their customers.
- Customers who inquire about or obtain RapidStart apps in a region supported by a Certified Regional Partner will be referred to the Certified Regional Partner for their region.

Certified Regional Partner Requirements
- You must be headquartered in a region we do not serve directly and that is not already served by a Certified Regional Partner.
- You must be able to demonstrate, to our satisfaction, a high level of proficiency with Microsoft’s Power Platform.
- There will only be one Certified Regional Partner for each Region.

Non-Exclusive Customer Engagement
- Customers are not required to use Certified Regional Partners and may choose any partner they like or independently manage their engagement with our apps.
- Certified Regional Partners are encouraged to provide value-added services but cannot mandate customers to use their services for continued usage of our apps.
- Any partner, Certified or not, can offer RapidStart and their services in any region, including regions where there is a designated Certified Partner or regions where RapidStart offers direct services.

Certified Regional Partner Responsibilities
Certified Partners are responsible for:
- Providing expert professional services, such as implementation, customization, integrations, training, and support, directly to their customers.
- Upholding the reputation and quality of RapidStart’s solutions when engaging with customers.
- Ensuring full compliance with all applicable local and international laws when dealing with customers.
- Avoiding knowingly violating the terms of service of RapidStart and Microsoft Corporation.
- Actively promoting RapidStart in your region.

Prohibited Activities
- Certified Regional Partners are encouraged to extend RapidStart’s apps with customized solutions, provided these extensions do not interfere with the core functionality or violate any other terms of this agreement.
- Partners must not remove, circumvent, or alter any licensing mechanisms embedded in the apps.
- Partners are strictly prohibited from attempting to create, offer, or sell a similar solution based on or derived from RapidStart’s apps.
- Partners shall not attempt to convert RapidStart leads to Dynamics 365 or other products unless it is clear that RapidStart are not a good fit.
- Any violation of these Prohibited Activities will result in immediate termination from the Certified Regional Partner Program and may lead to legal action.

Intellectual Property
- All RapidStart applications and materials provided to Certified Regional Partners remain the exclusive intellectual property of RapidStart. Partners may use these resources only to promote or provide services related to our applications. Partners are prohibited from creating derivative works of RapidStart apps that are intended to replicate or compete with RapidStart’s original apps.
- Any violation of our Intellectual Property rights will result in immediate termination from the Certified Regional Partner Program and may lead to legal action.

Independence of Partners
- Certified Regional Partners operate as independent entities. There is no employer-employee relationship between Forceworks LLC dba RapidStart Global and the Partners. Partners are solely responsible for their business practices and customer interactions.

Liability
- RapidStart will not be liable for any damages, losses, or disputes arising from the services provided by Certified Regional Partners. Certified Regional Partners assume all responsibility for the services they offer to customers.

Termination of Partnership
- RapidStart reserves the right to terminate the partnership if a Certified Partner violates any terms or is found engaging in practices that harm RapidStart or its customers.
- Certified Regional Partners may terminate their participation in the program at any time by providing us notice. However, even after termination, Certified Regional Partners will remain bound by these terms and conditions, including but not limited to intellectual property rights and prohibited activities, for a period of 1 year following the termination of the partnership.

Modifications to the Program
- RapidStart reserves the right to amend or modify the Certified Regional Partner Program and its terms and conditions at any time. Partners will be notified of any significant changes, and continued participation in the program will constitute acceptance of such changes.

Marketing and Branding Guidelines
- Certified Regional Partners are permitted to use RapidStart’s name, logos, and branding materials solely for the purpose of promoting their partnership and the services they provide in relation to RapidStart’s apps.
- Partners may not modify the branding assets in any way, including but not limited to changing colors, proportions, or removing elements.
- Partners are not allowed to create their own brand names, labels, or derivatives of RapidStart’s apps. All marketing must reflect the official names and branding of the apps.
- All marketing content that includes RapidStart’s name or branding must be submitted to RapidStart for pre-approval, which will be provided or declined within 7 business days.
- Partners are expected to create a dedicated landing page on their website for RapidStart.
- Partners are prohibited from making false or misleading claims about RapidStart’s apps, or their partnership status.
- RapidStart reserves the right to revoke branding permissions if a Partner is found to be using branding materials inappropriately or in violation of these terms.

Confidentiality
- Certified Regional Partners agree to maintain the confidentiality of all proprietary, technical, and business information provided by RapidStart, including but not limited to product details, customer data, financial information, trade secrets, and marketing strategies.
- Such confidential information may only be used for the purposes of fulfilling the obligations outlined in this Certified Regional Partner Program and must not be disclosed to any third party without the express written consent of RapidStart.
- Partners must take all reasonable precautions to prevent unauthorized disclosure or misuse of confidential information, both during the partnership and after its termination.
- The obligations under this confidentiality clause will survive the termination of the partnership.
By becoming a RapidStart Certified Regional Partner, you acknowledge and agree to these terms and conditions. Failure to comply with these terms may result in suspension or termination from the RapidStart Certified Regional Partner Program.
